Terms of Use

Effective: April 21, 2026  ·  Last updated: April 2026  ·  Questions? [email protected]

1. Introduction

CignifyAI has built an omnichannel analytics, attribution, and optimization platform purpose-built for direct-to-consumer (DTC) merchants. Please read these Terms of Use ("Terms") carefully before using our websites and any online services provided by CignifyAI, Inc. or its affiliates (collectively, "Company," "we," "us," or "our") that link to these Terms (the "Services").

By visiting or using the Services in any manner, you agree to the then-posted Terms and any applicable Additional Terms, acknowledge that you have read and understood them, and consent to our data practices — including the metadata collection and machine learning practices described in Section 5 — and our Privacy Policy.

These Terms affect your legal rights and obligations, limit CignifyAI's liability to you, require you to indemnify us, and require settlement of certain disputes through individual arbitration. If you do not wish to be bound by these Terms, do not use the Services.

If you have a disability that prevents you from accessing these Terms electronically and require an alternative format (e.g., audio, large print), please contact us at [email protected].

2. Additional Terms

In some instances, additional or different terms — posted on the Service or contained within an order form — apply to your use of certain parts of the Service ("Additional Terms"). To the extent there is a conflict between these Terms and any Additional Terms, the Additional Terms will control unless they expressly state otherwise.

3. Ownership & Your Rights to Use the Service

a. Ownership

The Service and all of its content ("Content"), including all copyrights, patents, trademarks, service marks, trade names, and other intellectual property rights ("Intellectual Property"), are owned or controlled by CignifyAI, our licensors, and certain other third parties. All right, title, and interest in and to the Content is protected by U.S. and international intellectual property laws.

Customers retain all right, title, and interest in their own advertising content ("Advertising Content") and raw first-party merchant data ("Merchant Data") submitted to the Service. CignifyAI's rights with respect to your Merchant Data are governed by Section 5.

b. Your Rights to Use the Service

Your right to use the Service is subject to strict compliance with these Terms. These rights are non-exclusive, limited, and revocable by us at any time without advance notice. You may not assign or transfer your rights. Permitted uses include:

c. Subscription Terms

CignifyAI may offer Customers a trial period. A valid payment method is required to activate a trial. You may cancel during the trial without charge. After the trial lapses, the applicable subscription fee will be charged.

Customers may purchase monthly or annual subscription plans ("Subscription Term"). Unless cancelled, subscriptions auto-renew at the end of each term. If cancelled mid-term, you retain access through the end of the paid Subscription Term. Subscription purchases are non-refundable and non-transferable.

d. Reservation of Rights

All rights not expressly granted to you are reserved by CignifyAI and its licensors. No right or license may be construed by implication, estoppel, or industry custom. Any unauthorized use of any Content or the Service is prohibited.

e. Third-Party Services

We are not responsible for third-party content, advertisements, apps, or sites ("Third-Party Services"). Portions of the Service may be integrated with platforms we do not control, including Shopify, Google, and Meta. Consult those parties' own terms and privacy policies before use. We take no responsibility for Third-Party Services.

4. Content You Submit & Community Rules

a. User-Generated Content

CignifyAI may offer users the opportunity to submit messages, text, files, images, data, reviews, suggestions, and other materials ("User-Generated Content" or "UGC") through the Services or on third-party platforms in connection with the Services.

b. Non-Confidentiality of Customer Content

Except as described in our Privacy Policy or applicable Additional Terms, you agree that your UGC will be treated as non-confidential and non-proprietary. CignifyAI does not assume obligations with respect to your UGC beyond what is stated in these Terms or our Privacy Policy.

c. License Grant for UGC

You hereby grant CignifyAI the non-exclusive, worldwide, irrevocable, perpetual, royalty-free right and license to use, copy, distribute, reproduce, display, publish, translate, make derivative works of, and otherwise exploit your UGC for any purpose in connection with operating and improving the Services.

d. Community Rules

All content you submit must be original or you must hold all necessary rights to it. Do not use the Service to harvest contact information from others or send unsolicited communications. Act respectfully in all interactions on or through the Service.

5. Data, Metadata & Machine Learning

CignifyAI's Core Data Commitment

Your raw Merchant Data is yours. We use it to power your analytics and return insights to you. When we train models or process metadata across our platform, we do so only on anonymized, aggregated, or de-identified data — never in a way that exposes your information to other merchants or third parties.

a. Definitions

b. Use of Your Merchant Data

We use your Merchant Data solely to provide and operate the Services for your account — including to generate attribution reports, CLV analytics, RFM segments, executive summaries, and other outputs delivered back to you. We do not sell your Merchant Data to third parties. We do not use your identifiable Merchant Data to train shared machine learning models without your explicit consent.

c. Collection and Use of Metadata

By using the Services, you acknowledge and agree that CignifyAI may collect and process Metadata generated through your use of the platform. We use Metadata to:

d. Machine Learning and Model Training

CignifyAI uses machine learning and artificial intelligence across the Services — including for attribution modeling, customer lifetime value prediction, RFM segmentation, anomaly detection, and AI-generated executive summaries. You agree that CignifyAI may use data as follows in connection with machine learning:

Account-Level ML — Always On

We train models using your own Merchant Data to generate insights, predictions, and summaries returned exclusively to your account. This is fundamental to how the Services work and cannot be disabled without disabling core features.

Cross-Merchant ML — Aggregated Only

We may train shared foundational models — for example, to improve general attribution accuracy or trend detection — using Aggregated or De-Identified Data across our Customer base. No individual merchant's identifiable data is used, and no proprietary information is exposed to other merchants or third parties.

e. Ownership of Model Outputs

Reports, insights, segments, summaries, and predictions generated for your account using your Merchant Data ("Outputs") are provided to you for your commercial use. CignifyAI retains rights in the underlying models, algorithms, and methodologies used to produce Outputs. You retain ownership of the factual data in Outputs that originated from your Merchant Data.

f. Data Retention and Deletion

CignifyAI retains Merchant Data for the duration of your Subscription Term and for up to 90 days thereafter to facilitate data export. Metadata and Aggregated Data may be retained for longer periods as necessary for platform operations, legal compliance, and model integrity. You may request deletion of your Merchant Data in accordance with our Privacy Policy.

g. Third-Party AI Services

Certain features — including AI-generated executive summaries and natural language insights — may be powered by third-party large language model providers such as Anthropic, Google, or OpenAI. When data is sent to such providers, it is processed under their applicable data processing agreements. CignifyAI does not permit third-party AI providers to train their foundation models on your identifiable Merchant Data.

A Note on Data You Share With Us

As you set up tracking and data collection on your store, please ensure that your own privacy policy and cookie consent practices reflect the data you're collecting from your customers. We're here to help you get the most out of your data — and that works best when the data flowing into CignifyAI is collected in a way that's consistent with applicable privacy expectations in your region.

6. Service & Content Use Restrictions

a. Service Use Restrictions

You agree that you will not:

b. Content Use Restrictions

You will not monitor, gather, copy, or distribute Content using any robot, spider, scraper, crawler, spyware, extraction tool, or any other automatic or manual process, except as permitted by standard browser use or our documented API.

10. Indemnification

You agree to defend, indemnify, and hold harmless CignifyAI, Inc. and its officers, directors, employees, contractors, licensors, and agents (collectively, the "CignifyAI Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

CignifyAI reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with CignifyAI's defense of such claim. This indemnification obligation survives the termination of these Terms.

The CignifyAI Parties shall not be personally liable for any obligations of CignifyAI, Inc. arising under these Terms. Your sole recourse for any claim relating to the Services is against CignifyAI, Inc. as a corporate entity, and not against any individual officer, director, founder, or employee.

11. Disputes, Arbitration & Class Action Waiver

Please Read This Section Carefully

This section affects your legal rights. It requires individual arbitration of disputes and waives your right to a jury trial or class action.

a. Informal Resolution First

Before filing any formal claim, you agree to contact us at [email protected] and give us 30 days to attempt to resolve the dispute informally. Most concerns can be resolved quickly this way, and we're committed to working with you in good faith.

b. Binding Arbitration

If we cannot resolve a dispute informally, you and CignifyAI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including the validity, interpretation, enforceability, or breach of these Terms — shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in King County, Washington, or remotely by mutual agreement. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and CignifyAI each waive the right to a jury trial and the right to litigate disputes in court, except as provided in Section 11d below.

c. Class Action Waiver

You and CignifyAI agree that any arbitration or proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. Neither you nor CignifyAI may bring a claim as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

d. Exceptions

Either party may bring an individual action in small claims court. Either party may also seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

e. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

12. General Provisions

If any part of these Terms is held invalid or unenforceable, that portion will be construed consistently with applicable law while the remaining portions remain in full force and effect. Any failure by us to enforce any provision will not be considered a waiver of our right to enforce that provision.

You agree that any cause of action arising out of your relationship with CignifyAI must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

These Terms, together with our Privacy Policy and any applicable Additional Terms, constitute the entire agreement between you and CignifyAI with respect to the Services and supersede all prior understandings regarding such subject matter.
